Inc. (hereinafter referred to as "the Company"). All users of the Service (hereinafter referred to as "Members")
must read the following terms and conditions in detail. The following terms of service constitute a binding
agreement between the Member and ITE2. By starting to use the Service, the Member is deemed to have read,
understood, and agreed to all the contents of the following terms and conditions:
I. Code of Conduct
-
Members must comply with the relevant telecommunications regulations (including the Telecommunications
Management Act) and intellectual property laws of the Republic of China (Taiwan). Members shall not utilize
the messaging services provided by this Website to engage in any conduct that violates the laws of the
Republic of China. If a Member violates this provision, the Company may immediately suspend or terminate the
services provided; furthermore, the Member shall be solely responsible for all resulting customer complaints
and legal liabilities, and the Company shall bear no responsibility whatsoever.
-
As the Internet is composed of various interconnected networks, if a Member uses the Service to breach a
third party's system, resulting in damage, unauthorized data retrieval, or other infringements, the Member
shall be solely liable for any direct or indirect losses, damages, and all associated criminal liabilities.
-
Members shall not use any device, mechanism, software, or routine to interfere, disrupt, or attempt to
interfere with the proper working of this Website. Members shall not take any action that imposes an
unreasonable or disproportionately large load on the infrastructure and systems of this Website. In the
event of any violation, the Company may suspend the Member's eligibility without prior notice and seek
damages and legal remedies.
-
Members shall not engage in transaction manipulation, fictitious transactions, interference with other
users' transactions, or any fraudulent activities. All conduct by Members within the Service must comply
with applicable laws, regulations, and the Membership Agreement.
If a Member violates any laws, these Terms of Use, or is suspected of infringing upon the rights and
interests of any third party, the Company reserves the right to move, delete, or suspend the Member's
account directly at any time without prior notice. If the Company suffers any damage because of such
violations, the user shall be liable to indemnify the Company for all losses and damages.
-
Joining as a Member of the Company's service system does not grant the Member any express or implied license
to the Company's intellectual property rights. Without the prior written consent of the Company, Members

II. System Maintenance and Service Interruption

not bear any liability for compensation.
III. Member Guidelines
-
SMS points purchased by Members through this Service have no expiration date and may be used permanently.
-
Each individual or entity may register only one account.
-
The Service reserves the right to record and keep logs of the content, recipients, and transmission times of
messages sent by Members for verification purposes. Furthermore, the Service dynamically adjusts its
detection and filtering mechanisms to block fraudulent, phishing, or other suspicious SMS content at any
time.
-
When scheduling bulk SMS transmissions, Members must include their own mobile number as a test recipient and
pay close attention to the scheduled time, to avoid secondary issues caused by telecommunications congestion
or other force majeure factors.
-
When sending Long SMS messages, please note that some older mobile phone models may truncate or experience
data loss due to character length limits.
-
Transmission speed may be slower during bulk SMS delivery. We appreciate your patience, as telecommunication
gateways may process multiple bulk batches simultaneously, or network latency may delay delivery to
recipients' devices.
-
If the scheduled time has passed but no transmission record appears in the query logs and no SMS is
received, this may be due to temporary telecommunications gateway congestion, network speeds, or other force
majeure factors. Delivery may be delayed but will proceed; please wait and do not
re-trigger the transmission to avoid duplicate messages and charges. For immediate assistance, please
contact us at +886-2-2788-0855.
-
Each standard SMS message is charged at 1 credit per message (up to 70 Chinese characters). Long SMS
messages are charged based on their length, with every 67 Chinese characters counted as 1 credit.
International SMS messages are charged at 3 credits per message.
-
Sending SMS messages to mobile users without their prior consent is strictly prohibited. If any improper use
causes inconvenience or losses to users and harms ITE2's business reputation, the Member shall bear full
liability for compensation. This applies equally if the Member permits a third party to use the Service.
-
Any transaction or dispute arising between a Member and an end-user through the use of the Service shall be
resolved solely between the respective parties; ITE2 shall bear no involvement or liability.
-
The bulk SMS platform provided by this Service is intended to facilitate bulk or batch transmission of
business or non-business messages. If a user commits any of the following acts, ITE2 may suspend the user's
account and services, cooperate with judicial and law enforcement investigations by providing Member
information, and the Member shall bear all legal liabilities independently:
-
Stealing, altering, or destroying information belonging to others;
-
Accessing resources that have not been officially opened or authorized by the owner;
-
Intentionally damaging others' communication equipment, or interfering with mobile phones' ability
to send/receive messages;
-
Reproducing, copying, selling, or republishing others' information without authorization;
-
Transmitting content that infringes on others' rights, violates public order, good morals, or laws;
-
Violating the terms of service or usage policies of telecommunications network operators;
-
Registering or providing false information;
-
Transmitting messages that run counter to public order or good morals;
-
Being reported, investigated, or preliminarily flagged for fraud by judicial/law enforcement
authorities, telecom operators, or telecom regulatory agencies;
-
Engaging in other activities that endanger telecommunications safety or violate applicable laws and
regulations.
-
The Service complies with the「Guidelines on Risk Management Mechanisms for Telecommunication Enterprises Accepting
Applications for Telecommunication Services」 formulated by the National Communications Commission
(NCC). Members must cooperate in submitting various application materials for review by competent
authorities. If a Member fails to cooperate, ITE2 reserves the right to suspend the Member's access to the
Service.
IV. Limitation of Liability
-
Unless caused by the willful misconduct or gross negligence of the Company, the Company shall not be liable
for any suspension or interruption of services, transaction failures, loss or corruption of data, or any
other direct or indirect damages arising therefrom. The Company's liability, if any, is limited to direct
damages and shall not extend to indirect, consequential, economic losses, or lost profits caused by:
-
Routine maintenance, relocation, replacement, upgrade, or repair of the Service system;
-
Data loss or corruption caused by backup errors or failures;
-
Actions of third parties, matters beyond the complete control of the Company, or other causes not
attributable to the Company;
-
Natural disasters or other events of Force Majeure.
-
The Member understands and agrees that if ITE2 is legally liable to the Member for damages, except in cases
of willful misconduct or gross negligence, ITE2's maximum liability for damages shall be capped at the
actual fees paid by the Member to ITE2 in connection with the specific incident.
-
Both the Member and the Company must maintain strict and absolute confidentiality regarding all information
and non-public data obtained from the other party in any form (oral or written). This includes, but is not
limited to, pricing, operations, credit, marketing, customer data, business plans, general business
operations, and other related matters. Both parties shall exercise the duty of care of a good administrator
to prevent unauthorized disclosure or illegal misappropriation.
V. Governing Law and Jurisdiction
-
This Membership Agreement, as well as its related guidelines, procedures, principles, policies, and service
descriptions, shall be governed by and construed in accordance with the laws of the Republic of China
(Taiwan).
-

guidelines, procedures, principles, policies, or service descriptions shall, if litigation arises, be
subject to the exclusive jurisdiction of the Taiwan Taipei District Court as the court of first instance.
